Innovation Shed - Participant Agreement

By registering for Innovation Shed, making a payment, or participating in our programs, you agree to these Terms and Conditions. Please read them carefully before participating.
Quick Summary: Innovation Shed provides educational workshops and mentorship for innovators and business builders. These are not professional services requiring licensing. We limit our liability, and you're responsible for your own business decisions. You can cancel anytime with notice, and refunds follow our policy below.
1. About Innovation Shed
Innovation Shed is operated by Paul Cannavan trading as WITH IMPACT IN MIND, ABN 78 210 957 865 ("we," "our," or "us"). Innovation Shed is an initiative of WITH IMPACT IN MIND.
1.1 What We Provide
- Educational workshops and skill-building sessions for innovators and business builders
- Access to experienced mentors and practitioners in various domains
- Community access and peer support opportunities
- Educational resources, templates, and frameworks
- Session booking and participation tracking through our platform
1.2 What We Don't Provide
- Professional financial, legal, accounting, or business advice requiring professional licensing
- Guaranteed business outcomes, success, or results
- Investment capital, funding, or connections to investors (unless explicitly stated)
- One-on-one ongoing consulting (unless specifically purchased separately)
- Technical development services or product building on your behalf
2. Membership & Participation Options
2.1 Pilot Events and Sessions
We offer single-session and pilot event access for one-time participation. Pricing and session details are displayed on our website and booking platform at the time of purchase.
2.2 Membership Tiers
We offer multiple membership tiers with varying levels of access to sessions, mentorship, resources, and community features. Specific tier names, pricing, and included benefits are displayed on our website and booking platform at the time of purchase.
Current membership options may include:
- Access to a specified number of sessions per month
- Group mentorship sessions
- One-on-one mentor sessions (on higher tiers)
- Community platform access
- Resource and template library access
- Progress tracking and accountability features
- Priority booking and exclusive workshops (on higher tiers)
Important: The specific features, pricing, and availability of each tier are subject to change and will be clearly displayed at the time of purchase. By completing your purchase, you agree to the pricing and features as displayed at that time.
3. Payment Terms
3.1 Payment Methods
- All payments processed securely via Stripe
- Credit or debit card required
- All prices in Australian Dollars (AUD)
- Prices include GST where applicable
3.2 Membership Billing
- Charged monthly in advance on your registration anniversary date
- Automatic renewal unless cancelled with proper notice
- Failed payments may result in temporary access suspension
- You'll receive 48 hours notice before suspension to update payment details
3.3 Price Changes
We reserve the right to change pricing for future purchases at any time. For active memberships, we will provide 30 days advance notice of any price changes. You will be given the option to:
- Continue at the new price
- Cancel your membership (see Section 4.2)
- Lock in current pricing for a specified period (if offered)
Price changes do not affect one-time purchases or events you have already paid for.
4. Cancellation & Refund Policy
4.1 Pilot Event and Single Session Refunds
- 7+ days before event: Full refund minus processing fee (typically $5)
- 3-7 days before event: 50% refund
- Less than 3 days before event: No refund, but you may transfer your spot to another participant
- No-show: No refund
- Event cancelled by us: Full refund
4.2 Membership Cancellation
- Cancel anytime with 30 days written notice to paul@withimpactinmind.com
- Cancellation effective at end of current billing period
- No refunds for partial months or unused sessions
- Access continues until end of paid period
- You may re-join at any time (subject to availability)
4.3 Our Right to Refund/Terminate
We may issue a refund and terminate your participation if you:
- Violate these Terms and Conditions
- Engage in disruptive or inappropriate behavior
- Breach our Code of Conduct (see Section 5)
- We cease operations for any reason
4.4 Refund Policy Updates
Specific refund timeframes and processing fees may vary by event or offering. The refund policy applicable to your purchase will be clearly displayed at the time of booking and will govern that specific transaction.
5. Code of Conduct
5.1 Expected Behavior
All participants are expected to:
- Treat all participants, mentors, and staff with respect and professionalism
- Maintain confidentiality of others' business information shared in sessions
- Arrive on time and prepared for scheduled sessions
- Engage constructively and contribute positively to the community
- Give and receive feedback respectfully and professionally
- Be honest about your business stage, challenges, and needs
5.2 Prohibited Behavior
The following behaviors are strictly prohibited:
- Harassment, discrimination, bullying, or intimidation of any kind
- Sharing others' confidential business information without permission
- Disruptive, aggressive, or unprofessional behavior
- Soliciting participants for competing programs or services
- Promoting your own products or services excessively without permission
- Recording sessions (audio/video) without explicit consent
- Misrepresenting your identity, business, or intentions
5.3 Consequences of Violations
- First violation: Written warning
- Second violation: Temporary suspension (1-2 sessions)
- Serious or repeated violations: Immediate termination without refund
6. Liability Limitations & Disclaimers
6.1 Educational Services Only
IMPORTANT: Innovation Shed provides education and facilitation, NOT professional advice requiring licensing. We are not:
- Financial advisors or investment professionals
- Lawyers or legal advisors
- Accountants, tax professionals, or bookkeepers
- Licensed business consultants in regulated industries
You acknowledge that you must seek qualified professional advice for financial, legal, accounting, tax, and other professional matters requiring licensing.
6.2 No Guarantees or Warranties
We make no guarantees, warranties, or representations about:
- Your business success, growth, or survival
- Revenue generation, profit, or financial outcomes
- Securing funding, investment, or customers
- Achieving product-market fit or business viability
- Any specific results from participating in our programs
- The accuracy, completeness, or applicability of any information shared by mentors
6.3 Your Responsibility and Acknowledgments
You acknowledge and agree that:
- You are solely responsible for all business decisions you make
- You will not rely solely on Innovation Shed guidance for major business decisions
- You will conduct your own due diligence and research
- You understand that business success depends on many factors outside our control
- You accept all risks associated with entrepreneurship and business building
- Mentors share their personal experiences and opinions, which may not apply to your situation
6.4 Limitation of Liability
To the maximum extent permitted by Australian law:
Our total liability to you for any claim arising from your participation is limited to the LESSER of:
- The fees you paid in the previous 3 months; OR
- $1,000
We are NOT liable for:
- Indirect, consequential, special, or punitive damages
- Lost profits, revenue, business opportunities, or customers
- Business failure, financial losses, or wasted investments
- Decisions you make based on educational content or mentor guidance
- Actions, advice, or conduct of mentors (they are independent contractors)
- Platform technical issues, downtime, or data loss
- Cancelled, rescheduled, or modified sessions (we'll reschedule when possible)
- Interactions between participants or with mentors
6.5 Insurance Coverage
We maintain the following insurance for your protection:
- Professional Indemnity Insurance: $2 million coverage
- Public Liability Insurance: $10 million coverage
These policies cover our negligence in delivering educational services and physical injury or property damage at our events.
7. Intellectual Property
7.1 Our Content and Materials
All workshop materials, templates, resources, frameworks, and platform content remain our intellectual property. You may:
- ✅ Use them for your own business and personal learning
- ✅ Implement frameworks and methodologies we teach in your startup
- ✅ Reference concepts and ideas in your work
You may NOT:
- ❌ Resell, redistribute, or share our materials with others
- ❌ Run competing programs or workshops using our content
- ❌ Claim our materials, templates, or frameworks as your own creation
- ❌ Share your platform login credentials with others
7.2 Your Content and Work Product
Work you create during sessions (business models, strategies, plans, etc.) belongs to you. You grant us a license to:
- Use anonymized examples from your work for teaching purposes (with identifying details removed)
- Feature your success story and outcomes (with your explicit permission)
- Display aggregate, anonymized data about participant outcomes
We will never share your specific business plans, strategies, or sensitive information without your express written consent.
8. Data Privacy
Your privacy is important to us. Our data collection, use, and protection practices are detailed in our Privacy Policy at innovationshed.com/privacy-policy.
8.1 Information We Collect
- Contact and professional information you provide
- Session attendance and participation data
- Payment information (processed by Stripe)
- Platform usage and interaction data
8.2 Your Data Rights
You have the right to:
- Access your data
- Request corrections
- Request deletion (subject to legal retention requirements)
- Unsubscribe from communications
- Receive a copy of your data in portable format
9. Platform Terms
9.1 Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- Do not share your account or password with others
- Notify us immediately if you suspect unauthorized access to your account
- We may suspend accounts for security reasons or Terms violations
9.2 Platform Availability
- We aim for high platform availability but do not guarantee 100% uptime
- Scheduled maintenance may cause temporary unavailability (we'll notify you)
- We're not liable for platform technical issues, bugs, or downtime beyond our reasonable control
- We recommend keeping your own backup copies of important work
10. Mentors & Third Parties
10.1 Independent Contractors
Mentors are independent contractors, not our employees. They:
- Provide their own perspectives, experiences, and guidance
- Are not speaking on behalf of Innovation Shed in their individual advice
- Are responsible for the quality and accuracy of their own guidance
- May have their own professional relationships and business interests
10.2 Mentor Relationships
- You may engage mentors privately for paid consulting after your membership ends
- During active membership, we ask that mentorship relationships remain within Innovation Shed
- Mentors may decline private work or have policies about working with participants
- Any private arrangements are between you and the mentor; we're not a party to those
11. Changes to Terms
11.1 Our Right to Modify
We may update these Terms and Conditions at any time. We will:
- Notify you by email of material changes
- Post updated terms on our website with "Last Updated" date
- Give 30 days notice for changes affecting payments or significant rights
11.2 Your Options
If you don't agree to updated terms:
- Cancel your membership before changes take effect
- Continued use after notice period = acceptance of new terms
12. Dispute Resolution
12.1 Complaints Process
If you have a complaint or concern:
- Email us at paul@withimpactinmind.com
- We'll acknowledge within 3 business days
- We'll investigate and respond with a resolution within 14 days
- If you're unsatisfied, we'll escalate to senior management
12.2 Mediation
If we cannot resolve a dispute informally, we agree to:
- Attempt mediation before pursuing litigation
- Share mediation costs equally
- Use LEADR, Resolution Institute, or similar mediation service
12.3 Governing Law
These Terms and Conditions are governed by the laws of Western Australia. Any disputes will be resolved in Perth courts.
13. General Provisions
13.1 Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any membership-specific terms, constitute the entire agreement between you and Innovation Shed.
13.2 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
13.3 No Waiver
Our failure to enforce any right or provision of these terms will not constitute a waiver of that right or provision.
13.4 Assignment
We may assign or transfer these terms and our rights and obligations. You may not assign your membership or these terms without our written consent.
13.5 Force Majeure
We're not liable for failure to perform our obligations due to circumstances beyond our reasonable control (natural disasters, pandemics, government restrictions, venue closures, etc.). In such cases, we'll reschedule sessions or provide pro-rata refunds as appropriate.

BY REGISTERING FOR INNOVATION SHED, MAKING A PAYMENT, OR PARTICIPATING IN OUR PROGRAMS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
If you do not agree to these terms, please do not register or participate in Innovation Shed.
Thank you for being part of Innovation Shed. Together, we're building a stronger, more capable Perth startup ecosystem through practical skills, hands-on learning, and community support.
